I – Introduction and company details

This text constitutes a Legal Notice and Conditions of Use governing access to, browsing on and /or use of the Web Site of Cyes Infraestructuras, S.A. (hereinafter cyes) and other concerns forming the cyes Group: Vareser 96 S.L. (hereinafter known as subsidiary company), located on the URL www.cyes.es.

The owner and party responsible for the Web Site is cyes, with registered office in Calle General Urrutia 75, 2ª Planta, Valencia, C.P. 46013, tax number C.I.F. A46124897 and registered in Valencia Commercial Registry, in volume 4340, folio 1, page number V-22429.

II – Access to the Web Site

Access, browsing and use of the Web Site entail and imply the user’s acceptance of this Legal Notice and Conditions for Use that this includes. Anyone accessing, browsing, using or taking part in the services and activities, whether free or charged for, offered on the Web Site is thus given the status of User.

As regards certain services and contents of the Web Site, the User from this time on fully and unconditionally accepts these general conditions, as well as any particular conditions which may where applicable complement, modify or replace the general conditions. In the event of any contradiction, the terms of the particular conditions shall prevail over the general conditions.

III – Services and contents

Any improper use of the Web Site shall be the full responsibility of the user.

The User undertakes not to infringe current legislation, good faith, generally accepted customs and public order when using the Site, its contents and its service.

Preventing proper operation of the Site, its use for unlawful purposes or ones damaging cyes or any third party, or which could in any way cause any harm is strictly prohibited.

The following is also prohibited in respect of the graphics contents, texts and any kind of sound or image file, photographs, etc.:

• Any infringement of ownership rights over these.
• Their reproduction, distribution or modification.
• Their use for any kind of commercial or advertising purposes other than any strictly permitted.
• Any attempt to obtain the contents of the Web Site by any means, except for the ones made available to users, as well as those that are customarily used on the web, on condition that these do not cause any damage whatsoever to the cyes Web Site, unless this has the owners’ consent or proves to be legally allowed.

IV – Modification of contents

Cyes reserves the right and may unilaterally, with no prior notice if it deems fit, modify the structure and design of the Web Site, modify and eliminate the services, the contents and the conditions for access and/or use of the Web Site. Any access to and use of the Contents and Services after its modifications or changes in conditions shall entail acceptance of these.

V – Links

Links to other web pages:

In the event of the User finding links with other pages on the Web page by means of different buttons, banners, etc., these will be managed by third parties. Cyes has no power nor human nor technical means to know of, control or approve all the information, contents, products or services supplied by other Web Sites to which links may be made from the Web Site.

Cyes can consequently assume no liability for anything to do with the Web page which might be established by a link from the Web Site. For announcement purposes and without intending to be exhaustive, this specifically includes its operation, access, data, information, files, quality and reliability of its products and services, its own links and/or any of its contents in general.

In this respect, if the Users were effectively to learn of the unlawfulness of any activities carried out through these third parties’ web pages, they should immediately make this known to cyes for purposes of proceeding to disable the access link to any such site.

Establishing any kind of link from the Web Site to any other Web Site shall not imply that there is any kind of relationship, cooperation or dependence between cyes and the party responsible for the other Web Site.

Links with other web pages leading to the Web Site:

The establishment of any link between a web page and any of the web pages of the cyes Web Site is subject to the following conditions:

• Cyes has no power nor human nor technical means to know of, control or approve all the information, contents, products or services supplied by other Web Sites which may have links established to the Web Site. For this reason cyes will under no circumstances be responsible for any of the content, operation, access, data, information, files, quality and reliability of the products or services made available to the public in the web page from which the link is made nor for any information or statements included in these.
• No total or partial reproduction of any of the services or contents of the cyes Web Site is allowed.
• No browser nor border environment over this shall be created.
• No deep-links with the web pages of the Web Site nor its services may be set up.
• The web page in which the link is established shall not contain the trade name, any trademark, company name, denomination, logo, slogan or other distinguishing signs or any other type of identifying item belonging to cyes without its express consent in writing.
• Cyes does not authorise the establishment of any link to the Web Site from any web pages which contain unlawful, illegal, degrading or obscene material, information or content, and in general which contravene morality, public order or generally accepted social norms.

VI - Indefinite nature

The duration of the rendering of the Web Site service and the services is indefinite. For this reason, the effectiveness over time of this Legal Notice coincides with the time of its exposure until these are fully or partially modified, at which time the modified Legal Notice will come into Force.

With no detriment to the foregoing, cyes reserves the right to interrupt, suspend or terminate rendering of the service of the Web Site or any of the services integrating this, in the same terms as stated in condition three, with no possibility for the User to demand any compensation. After any such termination the prohibitions for use of the contents previously given in this Legal Notice will continue to be in force.

VII - Liability and Exclusion of Guarantees

Cyes does not grant any guarantee nor is responsible under any circumstances for any damages of any kind which might stem from:

• Any inability to meet needs, cater for activities, provide specific results or meet Users’ expectations, through the lack of utility, appropriateness or validity of the Web Site and/or of its services or contents.
• The existence of virus, malware, or programs or with harmful content.
• Users’ reception, obtaining, storage, diffusion or transmission of the contents.
• Any unlawful, negligent or fraudulent use by the users contravening these General Conditions, good faith, generally accepted customs or public order of the Web Site, its services or contents.
• Any lack of lawfulness, quality, reliability, utility and availability of the services rendered by third parties and made available to users at the Web Site.
• Third parties’ failure to comply with their obligations or commitments in relation with the services rendered to users through the Web Site.
• Any lack of availability, maintenance and effective operation of the Web Site and/or of its services or contents.

In spite of all this cyes declares that it has adopted all the means necessary, within its possibilities and the state of the art, to guarantee the operation of the Web Site and to prevent the existence and transmission of viruses and other components damaging to Users.

VIII – Intellectual property rights

In order to maintain any possible intellectual property rights, in the event of any user or third party considering that there has been any infringement of their legitimate rights through bringing any specific content onto the Web Site, the cyes Group must be informed of this immediately so that it can take any appropriate measures, stating:

• The personal details of the interested party or in the event of these being those of a third party other than the interested party, the representation status in which they are acting for the holder of the rights presumably infringed. In any event, providing said data must be in accordance with legislation on personal data protection and comply with the means of accreditation of this norm laid down by cyes.
• Statement of its location on the Web Site and the content protected by intellectual property rights.
• Accreditation of the aforementioned intellectual property rights.
• Express declaration in which the interested party assumes responsibility for the truthfulness of the information given in the notification.

The trademarks of cyes, its Areas of Activity with their relevant designations and the corresponding graphic marks are all registered trademarks and their reproduction or use is prohibited without the holder’s consent.

The legitimacy of any intellectual or industrial property rights covering the contents provided by third parties is the latter’s sole responsibility.

IX – Applicable law and jurisdiction

This Legal Notice and the relations established between the Firm and the User, in particular the hearing and judgment of any legal action, disagreements or differences that might arise, shall be governed and judged according to what is laid down in Spanish norms on applicable legislation and competent jurisdiction. Nevertheless, for any cases in which the norms envisage the possibility of the parties submitting to a jurisdiction, the Firm and the User, expressly waiving any other jurisdiction to which they might be entitled, shall submit any controversies and/or litigation for hearing by the Courts of the city in which the Firm has its address as stated in this Legal Notice.
